Speaker for ARTS&METIERS : "The shareholders' agreement : from the minority shares to the 100% of the capital".
Sometimes, the buyer cannot acquire 100% of the capital of an enterprise and, for various reasons, only acquire a minority stake in the capital, "hoping" acquiring 100% of the capiltal later on. This hope may remain just a hope if such minority shareholder does not organize his/her acquisition strategy carefully. It seems fundamental to secure the acquisition of the remaining shares. Negotiating a shareholders' agreement may secure the acquisition of the remaining shares. During this conference, Fabienne van der Vleugel describes a "toolbox" and develop 10 various ideas and concrete suggestions to secure this acquisition.
